Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, website, and software provided by Slivo ("Slivo," "we," "us," or "our") at slivo.app (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Description of Service

Slivo is an AI-powered voice sales agent platform for e-commerce stores. The Service includes:

  • An AI voice agent that conducts guided product consultations with your customers via phone calls
  • A JavaScript widget embedded on your website that enables voice calls and displays product recommendations
  • A dashboard for managing your AI agent settings, viewing call analytics, and managing your subscription
  • Integration with supported e-commerce platforms (currently WooCommerce) to access your product catalog and create orders

The AI agent operates using third-party artificial intelligence and voice synthesis technologies. The Service depends on the availability and performance of these third-party providers.

2. Eligibility and Account Registration

2.1. You must be at least 18 years old to use the Service.

2.2. You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

2.3. You are responsible for all activity that occurs under your account. You must notify us immediately at help [at] slivo.app if you suspect unauthorized access to your account.

2.4. One account per store. Each e-commerce store requires a separate Slivo account.

3. Subscription and Payment

3.1. Free Trial. New accounts receive a free trial with a limited number of voice minutes. No credit card is required for the trial. When trial minutes are exhausted, the Service will be paused until you subscribe to a paid plan.

3.2. Paid Plans. Paid subscriptions are billed monthly through Stripe. Each plan includes a fixed number of voice minutes per billing cycle. Plan details and pricing are available at slivo.app/pricing.

3.3. Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

3.4. Cancellation. You may cancel your subscription at any time through your dashboard or by contacting help [at] slivo.app . Cancellation takes effect at the end of the current billing cycle.

3.5. No Refunds. All fees are non-refundable. No refunds or credits will be issued for partial months, unused minutes, or periods when the Service was not used.

3.6. Price Changes. We may change subscription pricing with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

3.7. Minute Usage. Voice minutes are counted based on call duration and reset at the beginning of each billing cycle. Unused minutes do not carry over.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Sell, promote, or facilitate the sale of illegal products or services
  • Harass, abuse, threaten, or deceive your customers or any third party
  • Transmit content that is defamatory, obscene, hateful, or discriminatory
  • Impersonate any person or entity, or misrepresent your affiliation
  • Interfere with or disrupt the Service, its servers, or networks
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to collect, store, or process protected health information (PHI) subject to HIPAA
  • Use the Service for high-risk financial services, including payday lending, debt collection, or credit repair
  • Use the Service to sell or promote firearms, ammunition, explosives, controlled substances, tobacco, or alcohol
  • Use the Service for political campaigns, gambling, or adult content
  • Collect, store, or transmit sensitive personal data (such as Social Security numbers, biometric data, or government-issued IDs) through the AI agent
  • Resell, redistribute, or sublicense the Service to third parties
  • Use the Service to make automated calls in violation of the Telephone Consumer Protection Act (TCPA) or similar laws

You represent and warrant that your use of the Service complies with all applicable federal, state, and local laws, including consumer protection, telemarketing, and privacy regulations. You are solely responsible for obtaining any necessary consents from your customers before initiating AI-assisted voice interactions.

We reserve the right to suspend or terminate your account if we determine that you have violated these restrictions.

5. AI Disclosure and Disclaimer

5.1. AI-Powered Service. The Service uses artificial intelligence to conduct voice conversations with your customers. The AI agent is not a human. Your customers will be informed that they are speaking with an AI assistant before each call begins.

5.2. Accuracy. AI-generated responses, product recommendations, and information are produced by probabilistic machine learning models and may contain errors, inaccuracies, or omissions. You are solely responsible for:

  • Reviewing and verifying AI-generated content and recommendations
  • Ensuring the accuracy of product information, pricing, and availability in your e-commerce platform
  • Reviewing orders created through AI-assisted calls before fulfillment

5.3. No Guarantee of Outcomes. We do not guarantee that the Service will increase your sales, conversion rates, or customer satisfaction. Results vary depending on your product catalog, customer base, AI agent configuration, and other factors outside our control.

5.4. Merchant as Seller of Record. You remain the seller of record for all transactions. Slivo facilitates the sales conversation and order creation process, but does not determine final pricing, tax calculations, product availability, or order acceptance. You are solely responsible for fulfilling orders, handling returns, and resolving disputes with your customers.

5.5. Your Responsibility. You are responsible for configuring your AI agent (greeting, tone, consultation flow, FAQ) in a manner that complies with applicable laws and accurately represents your business and products.

6. E-Commerce Platform Integration

6.1. The Service integrates with your e-commerce platform (e.g., WooCommerce) to access product data in real time and create orders on your behalf.

6.2. You grant Slivo permission to access your e-commerce platform's API using the credentials you provide during setup, solely for the purpose of delivering the Service.

6.3. You are responsible for maintaining valid API credentials and ensuring your e-commerce platform is properly configured and operational.

6.4. Slivo is not responsible for errors, downtime, or data loss caused by your e-commerce platform, hosting provider, or any third-party plugins or services.

7. Intellectual Property

7.1. Slivo's Property. The Service, including its software, design, algorithms, documentation, and branding, is owned by Slivo and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

7.2. Your Content. You retain ownership of content you create within the Service, including AI agent configurations, FAQ entries, consultation flow, and store descriptions. You grant Slivo a non-exclusive, worldwide license to use this content solely for the purpose of providing the Service.

7.3. Aggregated Data. We may collect and use aggregated, anonymized data derived from your use of the Service (such as average call duration, conversion rates, and usage patterns) to improve and develop the Service. This data will not identify you or your customers.

8. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Slivo a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation or compensation to you.

9. Third-Party Services

The Service relies on third-party providers for AI processing, voice synthesis, payment processing, and other functions. We are not responsible for the acts, omissions, availability, or performance of these third-party services. Your use of third-party services may be subject to their own terms and policies.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time or location. We do not warrant the accuracy, reliability, or completeness of any AI-generated content.

11. Limitation of Liability

11.1. To the maximum extent permitted by law, Slivo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

11.2. Slivo's total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to Slivo in the twelve (12) months preceding the event giving rise to the claim.

11.3. These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Slivo has been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Slivo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any content or data you provide through the Service
  • Any dispute between you and your customers arising from AI-assisted interactions or orders

13. Term and Termination

13.1. These Terms are effective when you create an account and remain in effect until terminated.

13.2. You may terminate your account at any time by cancelling your subscription and contacting help [at] slivo.app .

13.3. We may suspend or terminate your account at any time, with or without cause, with or without notice.

13.4. Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days following termination, after which it will be permanently deleted.

13.5. Sections 5, 7, 8, 10, 11, 12, 14, 15, and 16 survive termination.

14. Dispute Resolution

14.1. Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.2. Informal Resolution. Before initiating arbitration, you agree to first contact us at help [at] slivo.app and attempt to resolve the dispute informally for at least 30 days. If the dispute is not resolved within 30 days, either party may proceed to arbitration.

14.3. Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the Federal Arbitration Act (9 U.S.C. §§ 1-16), administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place remotely (via telephone or video conference) unless both parties agree otherwise. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

14.4. Small Claims Exception. Either party may bring an individual action in small claims court in lieu of arbitration, provided the claim falls within the court's jurisdictional limits.

14.5. Class Action Waiver. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action.

14.6. Injunctive Relief. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. General Provisions

15.1. Entire Agreement. These Terms constitute the entire agreement between you and Slivo regarding the Service and supersede all prior agreements.

15.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4. Assignment. You may not assign or transfer these Terms without our prior written consent. Slivo may assign these Terms without restriction.

15.5. Modifications. We may update these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

16. Data Processing

16.1. Service Provider Role. To the extent Slivo processes personal information on your behalf, Slivo acts as a service provider (as defined under the California Consumer Privacy Act) and a data processor. Slivo will process such data only for the purpose of providing the Service and as instructed by you.

16.2. Restrictions. Slivo will not sell, share, or use personal information received from you for any purpose other than providing the Service. Slivo will not retain, use, or disclose such information outside of the direct business relationship with you.

16.3. Assistance. Slivo will reasonably assist you in responding to data subject requests (such as access, deletion, or correction requests) from your customers, to the extent that Slivo controls the relevant data.

16.4. Subprocessors. You acknowledge that Slivo uses third-party subprocessors (including Retell AI and Stripe) to provide the Service. Slivo will ensure that subprocessors are bound by data protection obligations no less protective than those set forth in these Terms.
